As far as I know,most of the main of the changes were the new engines and also bigger wheels/tyres.The main of the phase 1's had 14'' wheels as standard,the RTi and V6 had 15'',on the phase 2 they came with 15'' standard and 16'' alloys as an option.
The new engines (1.6,1.8,2 litre 16 valve,1.9dTi and V6 24 valve) were fitted across the range,although some phase 2's still used the old 2 litre 8 valve unit and some the Volvo 2 litre 16 valve engine.
The brakes and suspension are the same with (I would guess) a minor tweak here and there,but there is no great difference between the phases.Detail changes between the two include the fact that the petrol flap release inside the car on the phase 1 was replaced with a flap that locked with the central locking on the phase 2,and the remote locking/immobiliser system changed to a more conventional system.
